These terms of service ("Terms", "Agreement") are an agreement between the website ("Website operator", "us", "we" or "our") and you ("User", "you" or "your"). This Agreement sets forth the general terms and conditions of your use of this website and any of its products or services (collectively, "Website" or "Services").
TERMS AND CONDITIONS
By creating an account, purchasing a plan, accessing or using the Website or Platform, generating or approving a quotation, uploading project information, responding to a project lead, listing products or otherwise using a GBQ Service, you agree to these Terms. If you do not agree, you must not use the relevant Service.
1. Definitions and interpretation
In these Terms, unless the context requires otherwise:
“ACL” means the Australian Consumer Law contained in Schedule 2 to the Competition and Consumer Act 2010 (Cth). “Account” means a registered GBQ user account. “Builder” means a builder, contractor or trade business that uses the Platform. “Builder Response Report” means a report generated or supplied through GBQ summarising Builder responses to a Project or Quote. “Developer” includes a property developer, owner-builder or other project owner using the Platform. “GEM” means the Grace Estimation Method, including GBQ formulas, rules, algorithms, datasets, assumptions and related calculation methods. “Homeowner” means a consumer or project owner using GBQ for a residential or other construction project. “Platform” means the GBQ software, portals, databases, APIs, applications and connected services. “Project” means a construction, renovation or related project entered into GBQ. “Quote” means a ballpark, design, detailed, formal or other quotation or estimate created or processed through GBQ. “Supplier” means a business listing, promoting, pricing or supplying materials, products or related services through GBQ. “User Content” means information, drawings, specifications, photographs, documents, messages, prices, product data and other material submitted by a user. “Website” means gracequote.com.au and any replacement or related GBQ website.
2. Who GBQ is and what the Platform does
GBQ is a technology, construction-estimating information and marketplace platform. GBQ enables users to prepare or obtain construction cost estimates, select material categories and products, manage project information, receive or respond to project opportunities, communicate with other users and use related project-management functions.
Unless GBQ expressly agrees otherwise in a separate written agreement, GBQ is not the builder, head contractor, subcontractor, architect, engineer, quantity surveyor, building surveyor, certifier, designer, superintendent, project manager, supplier, manufacturer, real-estate agent, finance provider, insurer, lawyer or other professional adviser for a Project.
Use of GBQ does not by itself create a builder-client, supplier-client, agency, partnership, joint venture, fiduciary or employment relationship between GBQ and a user, or between GBQ and any third party.
3. Eligibility, authority and account registration
You must be legally capable of entering into these Terms. If you use GBQ for a company, partnership, trust, government body or other organisation, you represent that you are authorised to bind that organisation.
You must provide complete, accurate and current registration information and promptly update it when it changes. You are responsible for all activity undertaken through your Account unless caused by GBQ’s failure to take reasonable security measures.
You must keep passwords, authentication codes and Account credentials secure and must promptly notify GBQ if you suspect unauthorised access.
4. User roles and role-specific responsibilities
GBQ may offer different functions, plans and permissions to Homeowners, Developers, Builders, Suppliers, administrators and other users. A user operating in more than one role must comply with the obligations applying to each role.
GBQ may require identity, business, licence, insurance, payment or other verification before enabling particular functions. Verification by GBQ is an administrative platform control only and is not a professional endorsement, warranty or guarantee.
5. Homeowner and Developer obligations
Homeowners and Developers are responsible for the accuracy and completeness of Project information they enter into GBQ, including dimensions, areas, room counts, drawings, specifications, site information, selected materials, preferred quality levels, budget information and other inputs.
You must independently verify information that is material to a decision to purchase land, enter a building contract, obtain finance, order materials, commence construction or make any other significant commercial or legal commitment.
Before appointing a Builder or trade contractor, you should verify the relevant contractor’s current licence, licence class, insurance, experience, references, capacity and suitability for the Project and obtain independent professional advice where appropriate.
6. Builder obligations
Each Builder is solely responsible for maintaining every licence, registration, qualification, insurance and legal authority required for work it offers or performs and for complying with applicable building, work health and safety, employment, tax, consumer and construction laws.
A Builder must ensure that all profile information, licence information, capacity statements, prices, exclusions, qualifications, availability, lead responses and quotations it submits are accurate, not misleading and kept current.
A Builder must not accept or pursue work for which it is not appropriately licensed, insured, competent or resourced. GBQ may request evidence of these matters at any time and may suspend access where evidence is not provided or appears unreliable.
Any building or trade contract is between the Builder and the relevant customer unless GBQ expressly becomes a party under a separate written agreement.
7. Supplier obligations
Each Supplier is responsible for the accuracy, legality and currency of its product descriptions, technical specifications, prices, GST treatment, stock information, availability, delivery terms, warranties, country of origin claims, images, intellectual property rights and compliance claims.
Suppliers must promptly correct outdated or inaccurate information and must not manipulate pricing, submit misleading comparisons, falsely claim stock or availability, or use the Platform to coordinate anti-competitive conduct.
Unless expressly stated otherwise, a Supplier listing or advertisement is information supplied by the Supplier and is not a representation or warranty by GBQ that the product is suitable for a particular Project or complies with a particular specification, code or approval requirement.
8. Grace Estimation Method (GEM)
GBQ may use GEM to estimate quantities, materials, labour allowances, project costs and related construction information from available Project inputs, formula relationships, assumptions, product information, historical information and other data.
GEM outputs are estimates and decision-support information. They are not certified bills of quantities, engineering calculations, architectural specifications, construction certificates, development approvals, structural designs, survey reports, geotechnical reports, final procurement schedules or guaranteed construction prices.
Actual quantities and costs may differ because of drawings, dimensions, design development, site access, site levels, soil and ground conditions, engineering requirements, statutory requirements, waste, construction methods, workmanship, labour rates, product substitutions, supplier availability, freight, taxes, geographic location, market movements and information not available to GBQ at the time of calculation.
Where GEM identifies a quantity or cost without full design information, the result must be treated as preliminary. Before construction, procurement or contracting, relevant quantities and requirements must be checked against final drawings, specifications, site conditions, engineering and applicable approvals by appropriately qualified persons.
9. Quote types and status
GBQ may provide different Quote workflows, including ballpark, design, detailed and formal quotations. The amount of information and level of precision may differ between Quote types.
Unless a document expressly states that it is a binding offer issued by an identified Builder or Supplier with authority to make that offer, a GBQ Quote is an estimate or information document only and is not a binding contract price.
Approving a Quote within GBQ generally indicates that the user wishes to progress the Quote through the Platform workflow. It does not, by itself, create a residential building contract or appoint a Builder.
10. Building contracts and statutory requirements
Any agreement for residential building work, trade work, professional services, supply of materials or other Project services must be documented and entered into by the relevant parties in accordance with applicable law.
For NSW residential building work, users should be aware that written-contract, licensing, insurance, statutory warranty, cooling-off, progress-payment, certifier and consumer-information requirements may apply under the Home Building Act 1989 (NSW) and related laws. GBQ does not replace those requirements.
Users must not treat a GBQ Quote, Builder Response Report, Project dashboard, message thread or system approval as a substitute for a legally compliant building contract where one is required.
11. Project leads and distribution to Builders
When a Homeowner or Developer approves or submits a Project for Builder engagement, GBQ may make some or all Project information available to Builders selected by the Platform, administrators or eligibility rules.
GBQ may use factors such as location, subscription plan, Builder capacity, prior activity, ratings, response history, Project type, budget alignment or other criteria to determine which Builders receive, rank for or appear in connection with a Project. GBQ may change these criteria from time to time.
GBQ does not guarantee that any minimum number of Builders will receive a lead, respond to a lead, accept a Project, offer a particular price or be available to contract. Any stated response period or target is an operational target unless expressly guaranteed in writing.
12. Builder responses, discussion requests and Builder Response Reports
Builders may be able to accept, decline, request discussion or propose qualifications or changes in relation to a Project. A response is not a building contract unless the relevant parties separately enter into a binding agreement.
GBQ may compile Builder responses into a Builder Response Report for a Homeowner or Developer. The report may summarise acceptance status, discussion requests, contact information, pricing alignment, notes, responsiveness, ratings or other available information.
GBQ relies partly on information supplied by Builders and other users. GBQ does not guarantee that a response remains current after the report is generated or that the Builder will ultimately contract on the same terms.
13. Recommendations, rankings, ratings and matching
GBQ may display rankings, ratings, shortlists, “recommended” Builders or Suppliers, price-match indicators or other comparative information. These features are intended to assist users to narrow options and are not professional endorsements or guarantees.
A recommendation or ranking may be generated from Platform data, user inputs, subscription settings, algorithms, GEM outputs, responsiveness, price alignment, previous activity or other factors. Different factors may produce different results.
Users remain responsible for their final selection and due diligence. GBQ does not guarantee workmanship, solvency, licensing status, insurance, availability, delivery, product quality, regulatory compliance or future performance of a Builder or Supplier merely because that party appears, ranks highly or is recommended on GBQ.
14. Supplier listings, featured suppliers and advertising
GBQ may display Supplier listings, sponsored placements, featured products, special offers or recommended suppliers. Paid or sponsored placements may be identified where required by law or where GBQ considers disclosure appropriate.
Advertising, ranking or payment by a Supplier does not transfer responsibility for the Supplier’s products or representations to GBQ. Users must assess whether products are suitable for their design, installation method, project location, code requirements and intended use.
Prices and offers displayed on GBQ may change or expire and may be subject to stock, quantity, freight, installation, minimum-order, tax, exchange-rate or geographic conditions.
15. Market prices and cost information
Construction and material prices can change rapidly and differ between regions, suppliers, builders and project conditions. GBQ does not warrant that historical, displayed, recommended or estimated prices will be available when a user purchases goods or contracts for work.
Users should obtain current written quotations before committing to significant expenditure. Where a displayed price is supplied by a third party, that third party is responsible for the accuracy of the price subject to applicable law.
16. Artificial intelligence, analytics and automated systems
GBQ may use analytics, machine learning, artificial intelligence or other automated systems to support estimates, recommendations, builder or supplier matching, product suggestions, price analysis, fraud or anomaly detection, project predictions, customer support and other Platform functions.
Automated outputs may be incomplete, probabilistic or wrong. Unless GBQ expressly states otherwise, automated outputs are decision-support tools and not professional advice or guarantees.
Where personal information is used in automated decision-making, GBQ will handle that information in accordance with its Privacy Policy and applicable privacy law. GBQ may provide additional transparency, review or explanation mechanisms where required by law or appropriate to the nature of the decision.
17. Drawings, specifications and other Project documents
Users may upload drawings, photographs, specifications, schedules and other documents. You must have all rights and permissions needed to upload and use them through GBQ.
GBQ does not independently verify that uploaded documents are complete, current, approved, coordinated or suitable for construction. A user must ensure that the correct revision is used and must obtain required approvals and professional certifications.
GBQ may technically process, extract information from, display, convert, store or analyse uploaded documents solely to provide, secure, improve or support the Services, subject to the Privacy Policy and these Terms.
18. User Content and licence to GBQ
As between you and GBQ, you retain ownership of your User Content subject to third-party rights.
You grant GBQ a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit, display, adapt for technical purposes and otherwise use User Content to the extent reasonably necessary to operate, secure, support, improve and provide the Services and to comply with law.
You warrant that your User Content does not infringe intellectual property, privacy, confidentiality or other rights, and is not unlawful, defamatory, fraudulent, malicious or misleading.
19. GBQ intellectual property and GEM rights
GBQ and its licensors retain all rights in the Website, Platform, software, source code, databases, interface designs, report formats, workflows, trademarks, graphics, documentation, calculation structures, GEM methodology, formulas, algorithms, models, business rules and other GBQ materials, except User Content and third-party materials.
Except as expressly permitted by law or these Terms, you must not copy, reproduce, modify, reverse engineer, decompile, scrape, create derivative products from, commercialise, disclose or use GBQ intellectual property to build or assist a competing estimation, quotation or marketplace service.
No transfer of ownership occurs merely because a user purchases a subscription, receives a Quote or downloads a report.
20. Acceptable use
You must use GBQ lawfully, honestly and only for legitimate construction, procurement, estimating, project or related business purposes.
You must not:
· impersonate another person or business or provide false identity, licence, insurance, project, price or product information;
· upload malware, interfere with security, probe vulnerabilities, bypass access controls or attempt unauthorised access;
· use bots, scraping or automated extraction except through an authorised GBQ API or with written permission;
· manipulate ratings, Builder responses, prices, recommendations, leads, availability or marketplace data;
· use GBQ to engage in collusion, bid rigging, anti-competitive conduct, spam, harassment, discrimination or unlawful surveillance;
· publish confidential Project information outside the permitted workflow; or
· use the Platform in a way that materially harms GBQ, another user or the integrity of the marketplace.
21. Subscriptions, plans and account limits
GBQ may offer free, trial, paid, annual, monthly, per-project, seat-based, lead-based, product-listing or other plans. The applicable price, term, inclusions, quotas and limits are those displayed or agreed at the time of purchase.
Certain current GBQ plans may activate an Account for a one-year period, but GBQ may introduce other billing periods. Where a plan renews automatically, the renewal mechanism, renewal price or method of determining the renewal price, and cancellation process must be disclosed at or before purchase.
Plan limits may include numbers of Projects, leads, Builder responses, seats, master-item groups, listed products, storage, reports, API usage or other usage measures. GBQ may prevent additional use when a limit is reached or offer an upgrade.
22. Fees, GST and payment processing
Prices are in Australian dollars unless stated otherwise. GST treatment will be shown where applicable.
Payments may be processed by third-party payment providers. GBQ may receive payment status, transaction identifiers and limited payment information from those providers but should not require users to send full card details directly unless GBQ operates a compliant payment process.
You authorise GBQ and its payment provider to charge amounts you validly agree to pay, including recurring charges where you have expressly agreed to recurring billing.
23. Cancellations, refunds, upgrades and downgrades
Cancellation, refund, upgrade and downgrade rights depend on the purchased plan, the disclosures made at purchase, any separate GBQ Refund/Cancellation Policy and rights that cannot be excluded under the ACL.
Nothing in these Terms excludes a refund, remedy or other right that must be provided by law. GBQ must not represent that a fee is “non-refundable” where the law requires a refund or other remedy.
Unless a plan states otherwise, cancelling a recurring plan stops future renewal but does not automatically reverse charges already validly incurred for a current billing period. Any different commercial rule must be clearly disclosed before purchase.
24. Communications and electronic notices
You agree that GBQ may send service communications by email, SMS, in-app notification, portal message or other electronic method using the contact details linked to your Account. Service communications may include security alerts, Quote status, Builder responses, Project notices, invoices, account changes and legal notices.
Marketing communications are subject to applicable consent and unsubscribe requirements. GBQ will provide an unsubscribe mechanism for commercial electronic messages where required by the Spam Act 2003 (Cth). Unsubscribing from marketing does not prevent necessary transactional or security communications.
25. Privacy and data protection
GBQ will handle personal information in accordance with its Privacy Policy and applicable privacy law. The Privacy Policy should explain the categories of personal information collected, purposes of collection and use, disclosures, overseas handling, access and correction rights, complaints and relevant automated-decision practices.
Users must not upload unnecessary sensitive information or personal information about another person unless they have a lawful basis and any required consent to do so.
No internet service can be guaranteed completely secure. GBQ will take reasonable security measures appropriate to the Services, but users must also protect their Accounts, devices and project information.
26. Third-party services, links and integrations
GBQ may connect to payment providers, email/SMS providers, maps, analytics tools, cloud services, builders, suppliers or other third-party services. Third-party services may have their own terms and privacy policies.
GBQ is not responsible for independent third-party services merely because they are linked to or integrated with the Platform, except to the extent liability cannot lawfully be excluded or the third party acts as GBQ’s agent for a matter for which GBQ is legally responsible.
27. Service availability, maintenance and changes
GBQ may update, maintain, modify, suspend or discontinue features to improve security, performance, compliance or business operations. GBQ will take reasonable steps to avoid unnecessary disruption and, where appropriate, give notice of material changes affecting paid Services.
GBQ does not guarantee uninterrupted or error-free availability. Maintenance, internet failures, cyber incidents, third-party outages and events outside reasonable control may interrupt access.
28. No professional advice and reliance
Information made available through GBQ is general information and technology-assisted estimating or marketplace information. It is not a substitute for advice from appropriately licensed or qualified builders, engineers, architects, quantity surveyors, certifiers, lawyers, accountants, finance professionals, insurers or other advisers.
You are responsible for deciding whether and how to rely on Platform information. For significant decisions, you should obtain independent verification appropriate to the risk and value of the decision.
29. Australian Consumer Law and non-excludable rights
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or other protection under the ACL or another law that cannot lawfully be excluded, restricted or modified.
Where a statutory guarantee applies, the remedies available to you are those provided by law. Any exclusion, disclaimer or limitation in these Terms operates only to the maximum extent permitted by law.
30. Disclaimers
Subject to clause 29 and to the maximum extent permitted by law, GBQ does not warrant that: estimates will equal final construction costs; quantities will equal final measured quantities; every Builder or Supplier will respond or perform; prices or stock will remain available; Project information supplied by users is accurate; or the Platform will be uninterrupted, error-free or suitable for every project or purpose.
Where GBQ republishes third-party data, GBQ does not adopt every third-party statement as its own. This clause does not excuse GBQ from responsibility that the law places on GBQ for its own conduct.
31. Limitation of liability
This clause is subject to clause 29.
To the maximum extent permitted by law, GBQ is not liable for indirect, consequential or special loss, or loss of profit, revenue, opportunity, goodwill or anticipated savings, arising from use of the Services where such loss was not reasonably foreseeable or was not caused by GBQ’s breach, negligence or unlawful conduct.
For Services that are not ordinarily acquired for personal, domestic or household use or consumption, and where the ACL permits limitation, GBQ’s liability for failure to comply with an applicable consumer guarantee may, at GBQ’s option, be limited to supplying the Services again or paying the cost of having the Services supplied again.
Any other monetary cap applying to a particular paid plan should be stated in the plan terms and must operate subject to all non-excludable rights. GBQ does not seek to limit liability for fraud, wilful misconduct or any liability that cannot lawfully be limited.
32. Indemnity
To the extent permitted by law, you indemnify GBQ against third-party claims, losses and reasonable costs to the extent caused by your unlawful conduct, material breach of these Terms, infringement of third-party rights, unauthorised User Content, or a building/product representation or service for which you are responsible as a Builder or Supplier.
This indemnity is reduced to the extent that the relevant loss was caused or contributed to by GBQ. It does not require a consumer to indemnify GBQ for GBQ’s own negligence, breach of law or failure to provide a statutory guarantee.
33. Suspension and termination
You may stop using GBQ at any time, subject to payment obligations already incurred and any applicable plan-cancellation process.
GBQ may suspend, restrict or terminate access where reasonably necessary because of non-payment, material breach, suspected fraud, security risk, unlawful conduct, licence or insurance concerns, harm to other users, misuse of leads or data, infringement, or a legal/regulatory requirement.
Where appropriate and legally permissible, GBQ will give notice and a reasonable opportunity to remedy a remediable breach before permanent termination. Immediate action may be taken where delay would create material risk.
On termination, provisions concerning intellectual property, accrued payments, liability, indemnities, dispute resolution, confidentiality and any provisions intended by their nature to survive will continue.
34. Complaints and dispute resolution
GBQ encourages users to raise complaints promptly through the contact channels stated on the Website. GBQ will maintain a complaints process designed to acknowledge, investigate and respond to complaints fairly and within reasonable timeframes.
Before starting court proceedings against GBQ, a user and GBQ should attempt in good faith to resolve the dispute by written notice and discussion for at least 14 days, unless urgent relief is required or a statutory right allows immediate action.
This clause does not prevent a consumer from contacting NSW Fair Trading, the ACCC, OAIC, ACMA, another regulator, an ombudsman or tribunal, or exercising any non-excludable statutory right.
GBQ does not adjudicate contractual disputes between Homeowners/Developers, Builders and Suppliers. Those parties remain responsible for resolving their own disputes under their contract and applicable law, although GBQ may provide records or Platform information where lawful and appropriate.
35. Confidentiality
Users must protect non-public Project, pricing, commercial and personal information obtained through GBQ and may use it only for the purpose for which the Platform makes it available, unless disclosure is authorised or required by law.
Builders must not use lead information to solicit unrelated services, sell contact information or disclose a customer’s Project to other Builders without permission. Suppliers must not misuse user or Project information obtained through the Platform.
36. Changes to these Terms
GBQ may update these Terms to reflect legal, security, technical, product or business changes. The current version will be published on the Website with its effective date.
For material changes that adversely affect an existing paid subscription, GBQ will provide reasonable notice where practicable. If required by law, GBQ will obtain fresh consent rather than relying only on continued use.
37. Assignment
You must not transfer your Account or assign a material right under these Terms without GBQ’s consent, except where the law permits otherwise. GBQ may assign or transfer these Terms as part of a genuine corporate restructure, sale of business or transfer of the Platform, subject to applicable law and continuing protection of users’ rights.
38. Force majeure
Neither party is liable for delay or failure to perform an obligation, other than a payment obligation already due, to the extent caused by an event beyond that party’s reasonable control, provided the affected party takes reasonable steps to minimise the effect of the event.
39. Severability and waiver
If a provision is invalid or unenforceable, it is to be read down to the extent necessary or, if it cannot be read down, severed without affecting the remaining provisions.
A failure or delay to exercise a right is not a waiver of that right. A waiver must be clear and applies only to the particular matter waived.
40. Governing law and jurisdiction
These Terms are governed by the laws of New South Wales, Australia, and the Commonwealth laws applying there. Subject to any mandatory consumer or tribunal jurisdiction, the parties submit to the courts and tribunals of New South Wales.
These Website and Platform Terms are separate from any building contract between users. Nothing in this clause is intended to insert an arbitration clause into a NSW residential building contract or displace mandatory rights under construction or consumer legislation.
41. Contact and notices to GBQ
Questions, complaints and legal notices relating to these Terms may be sent to the contact details published by GBQ. Until final legal details are inserted, the publication copy must not be released without completing the legal entity name, ABN/ACN, business address and legal/support email on the Publication Information page.
SCHEDULE 1 - GEM, QUOTATION AND REPORT RULES
S1.1 Input hierarchy
GBQ may calculate outputs from user-provided information, stored defaults, inferred geometry, selected materials, supplier data, Builder data and GEM rules. Where information conflicts, the Platform may apply validation or precedence rules. Users must review material inputs and outputs before relying on them.
S1.2 Default quality selections
GBQ may offer economical, standard, advanced, excellent or custom/default-free material-selection modes. Default selections are convenience settings only. A default label describes a pricing/quality category within GBQ and is not an assurance that a particular product, brand or specification is appropriate for a Project.
S1.3 Easy inputs and hard quantities
GBQ may ask users for simple information such as land area, built-up area, building height, number of rooms, number of bathrooms and preferred finishing level, and may use GEM to estimate harder quantities such as excavation, concrete, reinforcement, masonry, roof, electrical, plumbing and other quantities. Because those hard quantities can depend on design and site information not yet available, they remain estimates until appropriately verified.
S1.4 Quote revision and re-quotation
Users may be able to modify a Quote before or after approval, subject to Platform controls. Any modification can change quantities, prices, Builder responses and recommendations. A previously generated report may become outdated after a revision.
S1.5 Reports
GBQ reports may contain summaries, estimates, Builder or Supplier information, recommendations, next-step guidance, advertising or other generated information. Report content must be read together with these Terms and any report-specific notice. Reports are intended for the recipient’s Project and must not be resold or presented as a professional certification unless GBQ expressly states otherwise.
SCHEDULE 2 - MARKETPLACE, BUILDER AND SUPPLIER RULES
S2.1 No guaranteed lead volume
A Builder plan, lead quota, capacity setting or historical lead volume does not guarantee that a Builder will receive any particular number, value or type of Projects. Marketplace demand, location, eligibility, customer preferences, Builder responsiveness and other factors may affect allocation.
S2.2 Lead confidentiality
A Builder receiving a Project opportunity may use Project information only to evaluate and respond to that opportunity and, if selected, to progress the Project. The Builder must not disclose the customer’s identity or Project information to competing builders or unrelated third parties without authority.
S2.3 Supplier product integrity
GBQ may use supplier product prices and specifications in Quotes. A Supplier must keep those details current and must promptly notify GBQ of material changes. GBQ may flag, suppress or review prices that appear anomalous or unreliable but is not obliged to detect every error.
S2.4 Marketplace neutrality and commercial arrangements
GBQ may charge subscriptions, listing fees, advertising fees, referral fees or other commercial fees.
